KuCoin Thailand Referral Program Standard Terms and Conditions

These Standard Terms and Conditions ("Agreement") form a binding agreement between you (“Referrer” or “you”) and ERX Company Limited (“the Company”, “we”, or “us”), a company incorporated under the laws of Thailand and  operating the digital asset exchange platform under the brand name KuCoin Thailand, with its registered office at 1788, Singha Complex Building, 27th Floor, Unit 2702-2708 New Petchaburi Road, Bang Kapi Subdistrict, Huai Khwang District, Bangkok 10310, Thailand. This Agreement governs the general terms of your participation in the KuCoin Thailand Referral Program (“Program”).

If you are registering or participating on behalf of a business or legal entity, the term “you” refers to such entity, and you represent and warrant that you have the authority to bind that entity to this Agreement. 

By registering for or participating in the Program, you acknowledge that you have read, understood, and agreed to be bound by this Agreement, and any campaign-specific terms and conditions (“Campaign Terms”). In the event of any conflict between this Agreement and the Campaign Terms, the provisions of the Campaign Terms shall prevail.

1. Definitions 

For the purposes of this Agreement:

• Referrer means an existing user of KuCoin Thailand who participates in the Program or specific referral campaign by inviting others to join the platform using a unique referral code or link provided by the Company.
• Referee means a new user who registers with KuCoin Thailand using a valid referral code or link provided by a Referrer, and who meets the eligibility criteria of the Program or specific referral campaign.
• Campaign Terms means specific terms published by the Company for a particular referral campaign of the Program.

2. Agreement Scope and Acceptance

Participation in the Program is subject to the terms of this Agreement and all applicable Program and Campaign Terms. You agree to be bound by these terms by enrolling in or participating in any campaign.

3. Referral Campaign Terms 

Each referral campaign may have its own Campaign Terms governing reward structure, eligibility criteria, timelines, and reward distribution conditions. By participating in a specific campaign, you agree to comply with its respective Campaign Terms.

4. IBA Acknowledgment and Regulatory Compliance 

By participating as a Referrer in the Program, you acknowledge and agree that such participation constitutes acting as an Introducing Broker Agent (“IBA”) under applicable regulations of the Securities and Exchange Commision of Thailand (“SEC”). 

As a Referrer (IBA), you are subject to these obligations include, but are not limited to:

4.1 Regulatory Acknowledgment

a. Your activities must comply with the requirements set forth by the SEC and any applicable guidelines governing digital asset businesses.

b. The facilitation of the Referral Program is for the provision of services related to digital tokens only. (The digital asset type is published in the Company’s website)

c. The Company may request documentation or certifications to verify your understanding and compliance.

4.2 Prohibited Conduct for IBAs 

You must not engage in the following activities, which are deemed core business functions and are restricted to the Company:

a. Assessing service credit limits or approving account openings for the Company’s services. 

b. Providing investment or trading advice, including advice on buying, selling, or exchanging digital tokens.

c. Receiving orders or acting as an intermediary for the purchase, sale, or exchange of digital tokens.

d. Managing, holding, or safeguarding customers' digital tokens or private keys.

 

4.3 Permitted Conduct

a. You will only provide factual, accurate, and non-misleading information about the Company and the Referral Program.

b. You may share your referral link/code through personal channels, but you must not misrepresent your role or the services of the Company.

c. You will refer others in good faith without offering financial advice or guarantees.

d. You must not advertise yourself as an employee, agent, or financial advisor of the Company.

5. Reward Structure and Eligibility 

Eligibility for rewards is governed by the applicable Campaign Terms. The Company reserves the right to determine reward conditions, disqualify ineligible referrals, or withhold rewards if misconduct is identified. 

The Company also reserves the right to disqualify Referrers from participating in the Program and revoke any rewards from users who engage in dishonest or abusive activities to earn such rewards. This includes, but is not limited to:

a. Creating multiple or bulk accounts to obtain additional rewards;

b. Using phishing websites or fraudulent means to distribute referral links;

c. Any other activity deemed unlawful, fraudulent, or harmful by the Company.

6. Termination and Suspension

The Company reserves the right, at its sole discretion, to suspend or terminate your participation in the Program and to withhold any associated benefits or incentives in the event of non-compliance with this Agreement, regulatory breaches, or suspicious activities. This includes, but is not limited to, circumstances where you have:

a. Violated any of the above obligations,

b. Engaged in misleading, unethical, or non-compliant conduct,

c. Failed to comply with regulatory requirements governing IBA conduct.

Should a Referrer (IBA) fail to comply with the aforementioned requirements, the Company may take any actions it deems appropriate, including but not limited to:

• Withholding, in whole or in part, any rewards or benefits from the Program or related campaigns.
• Disqualifying a Referrer from participating in any current or future promotional campaigns or referral programs.

7. Supervision and Oversight of Referrers (IBAs)

The Company will implement appropriate measures to supervise, inspect, and control the conduct of Referrers (IBAs) to ensure compliance with applicable regulations. Such measures may include:

• Conducting audits and reviewing referral activity.
• Requiring declarations.
• Monitoring for violations and taking corrective action.
• Providing training or issuing updates where necessary.

 

8. Amendments and Updates 

The Company reserves the right to modify this Agreement at its sole discretion. The Company will provide prior notice before any material changes take effect. Continued participation in the Program following such updates constitutes your acceptance of the revised terms.

 

By continuing to participate in the KuCoin Thailand Referral Program, you agree to be bound by the above Terms and Conditions.
